These Additional Terms for EU Sellers (“EU Seller Terms”) apply if you act for purposes related to your trade, business, craft or profession, are established or resident in the European Union, and use WPBay to offer products or services to consumers located in the European Union.
These EU Seller Terms supplement the WPBay Seller Agreement, the WPBay Terms and Conditions and other applicable marketplace policies.
They are intended to address requirements under Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services, commonly known as the Platform-to-Business or P2B Regulation.
If these EU Seller Terms conflict with another WPBay seller term, these EU Seller Terms will prevail to the extent required by the P2B Regulation or other mandatory applicable law.
Internal complaints
WPBay provides EU Sellers with a free internal process for complaints concerning:
- WPBay’s compliance with the P2B Regulation where the issue affects the Seller;
- technical issues directly related to WPBay that affect the Seller’s use of the marketplace; or
- conduct, decisions or measures taken by WPBay that directly affect the Seller, their account or their products.
Complaints may concern matters such as product rejection or removal, account restrictions, suspensions, payout restrictions, technical problems, marketplace access or the application of a WPBay policy.
To submit a complaint, email support@wpbay.com with the subject line “EU Seller Complaint”. Include your seller account email address, store name, affected product or decision, relevant dates, a clear description of the issue and the outcome you are requesting.
WPBay will review each complaint individually and free of charge. We will consider its importance, urgency and complexity and provide a written outcome within a reasonable period. The outcome will explain our decision in clear language.
Submitting a complaint does not automatically suspend the measure being challenged, particularly where WPBay must protect customers, preserve evidence, prevent fraud, comply with the law or address a security risk.
The P2B Regulation exempts providers that qualify as small enterprises from the mandatory complaint-handling system established by Article 11. WPBay relies on that exemption while it qualifies but voluntarily provides the complaint process described above.
Mediation
The P2B Regulation also exempts qualifying small enterprises from the requirement to identify standing mediators. WPBay therefore does not currently appoint or contract with a mandatory mediation provider.
If an internal complaint cannot be resolved, either party may propose mediation through an independent mediator. Mediation will begin only if WPBay and the Seller agree in writing on the mediator, procedure and allocation of mediation costs.
Unless otherwise agreed, each party will pay its own legal and professional expenses. Mediation does not prevent either party from exercising its rights before the competent courts or through another remedy available under applicable law.
If WPBay ceases to qualify for the applicable small-enterprise exemption, these terms will be updated and mediators will be identified where legally required.
Product rejection, removal, restriction and suspension
WPBay may reject or remove products, restrict marketplace functionality, pause payouts, suspend seller accounts or take other proportionate measures on the grounds described in the Seller Agreement and applicable marketplace policies.
These grounds include policy or contractual violations, malware or security risks, fraud concerns, intellectual property complaints, unlawful or misleading content, manipulated reviews or rankings, customer harm, repeated support failures, abandoned or insecure products, identity or tax verification problems, payment disputes, abusive conduct, technical misuse, legal requirements and threats to marketplace integrity.
When WPBay restricts or suspends an EU Seller’s access, including through product rejection or removal, we will normally provide a statement of reasons by email or through the Seller’s account before or when the measure takes effect.
The statement will identify the relevant facts or circumstances, the contractual or policy grounds relied upon and how the Seller may use the internal complaint process.
WPBay may act immediately where required by law or where an unforeseen and imminent risk requires urgent action. This may include suspected fraud, malware, active exploitation, data breaches, cybersecurity incidents, illegal content or an immediate threat to customers or the marketplace.
Where prior notice cannot reasonably be provided, WPBay will provide the statement of reasons without undue delay after taking action. Information may be withheld where disclosure is prohibited by law, required to remain confidential by an authority, would expose confidential third-party information or would materially increase a security or fraud risk.
Termination of complete marketplace access
Where WPBay decides to terminate an EU Seller’s access to the marketplace as a whole, WPBay will normally provide at least 30 days’ prior notice by email or through the Seller’s account. The notice will include a statement of reasons.
The 30-day period does not apply to the rejection or removal of an individual product, a temporary suspension, a proportionate account restriction or another measure that does not terminate the Seller’s complete use of WPBay.
WPBay may terminate complete access without the 30-day notice period where a legal or regulatory obligation requires immediate termination, an imperative reason under applicable European Union or national law requires it, or the Seller has repeatedly infringed the Seller Agreement or applicable marketplace policies.
Termination does not remove obligations relating to existing customers, refunds, chargebacks, intellectual property claims, security incidents, taxes, outstanding investigations or other matters that reasonably survive termination.
Review and reinstatement
An affected EU Seller may use the internal complaint process to clarify the facts and circumstances that led to a restriction, suspension, product removal or termination.
If WPBay determines that a measure was taken in error or is no longer justified, WPBay will reverse or adjust the measure without undue delay where reasonably possible. This may include restoring the Seller’s account, product listing or access to relevant account information.
Changes to these terms
WPBay will provide EU Sellers with at least 15 days’ notice before a material change to these EU Seller Terms or other contractual terms governing their marketplace participation takes effect.
Notice will be delivered through a durable medium, such as email or an in-account notification.
Where a change reasonably requires an EU Seller to make significant technical or commercial adjustments, WPBay will provide a longer notice period proportionate to the required work and normally no less than 30 days.
An EU Seller who does not accept a proposed change may terminate their seller participation before the change takes effect. Termination does not remove obligations relating to previous sales, customers, payouts, refunds, disputes or security matters.
WPBay may make non-material editorial, formatting or administrative corrections without advance notice where they do not change the parties’ rights or obligations.
A shorter period or immediate change may be used where WPBay is required to comply with a legal or regulatory obligation or must address an unforeseen and imminent risk involving fraud, malware, spam, data breaches, cybersecurity, customer safety or marketplace integrity.
Changes will not apply retroactively unless required by law or beneficial to affected Sellers.
Cybersecurity obligations for software Sellers
EU Sellers offering WordPress plugins, themes, scripts or other software should also review EU Cyber Resilience Act: Reporting Requirements for WPBay Sellers.
Cybersecurity reporting duties are separate from the P2B Regulation. Sellers remain responsible for determining whether the Cyber Resilience Act applies to their products and for making any legally required reports.
Sellers must also notify WPBay without unreasonable delay when they become aware of a serious vulnerability or security incident affecting a product offered through WPBay.
Governing law and mandatory rights
Except where these EU Seller Terms state otherwise, the governing law and dispute provisions in the Seller Agreement continue to apply.
Nothing in these EU Seller Terms limits any right or remedy that cannot legally be excluded under European Union or applicable national law.
