Welcome to WPBay.
This Seller Agreement governs your use of WPBay as a seller, vendor, or product creator. By creating a seller account, submitting products, or receiving payouts through WPBay, you agree to the terms below.
WPBay exists to help WordPress developers build sustainable businesses around their work. But to make that possible, we need clear rules that protect customers, sellers, and the platform itself.

Throughout this agreement, “WPBay”, “we”, “us”, and “our” refer to CODE IKIGAI SRL operating WPBay.
“Seller”, “vendor”, “you”, and “your” refer to any individual or business selling products through the platform.
The Relationship Between You and WPBay
WPBay operates as the Merchant of Record for purchases made through the platform.
That means customers buy from WPBay, not directly from individual sellers.
We handle checkout, billing, payment processing, invoicing, VAT collection where applicable, refunds under our platform policies, and subscription billing where relevant.
You remain the creator and owner of your products, but WPBay acts as the commercial seller to the end customer.
Nothing in this agreement creates an employment relationship, partnership, joint venture, agency arrangement, or similar legal relationship between you and WPBay.
You’re an independent business using our platform to distribute your products.
Who Can Sell
To sell on WPBay, you must be legally able to enter into binding contracts and provide accurate account information.
If you’re acting on behalf of a business, you confirm you have the authority to do so.
We may request identity verification, ownership verification, payout information, tax information, or other documentation if needed for compliance, fraud prevention, or account validation.
If you are established or resident in the European Union and use WPBay as part of your business activity to offer products or services to consumers located in the European Union, the Additional Terms for EU Sellers also apply to you.
Seller Account Transfers and Business Ownership Changes
WPBay may permit the transfer of seller businesses, including associated seller accounts, only with prior written approval from WPBay.
Any proposed transfer requires identity verification, updated tax and payout information, acceptance of the current WPBay Seller Agreement and related platform policies by the incoming owner, and any other documentation reasonably requested for compliance, fraud prevention, or account validation.
Where a transfer materially affects customer support, licensing, subscriptions, update delivery, or ongoing product maintenance, WPBay may require customer notification before approving the transfer.
WPBay may reject, suspend, or reverse a proposed transfer where we reasonably believe it creates fraud risk, misleading reputation transfer, inadequate support continuity, ownership uncertainty, legal or compliance concerns, or potential customer harm.
Seller accounts may not be sold, assigned, transferred, or otherwise handed over without WPBay’s explicit written approval.
Approval of a transfer does not create any obligation for WPBay to assume seller support responsibilities, product maintenance obligations, or technical continuity between the previous and incoming owner.
What You Can Sell
WPBay is built for WordPress products.
That includes plugins, themes, extensions, integrations, developer tools, and related software products.
Not every submission will be approved.
We review products for quality, security, functionality, and marketplace fit. Approval is entirely at WPBay’s discretion.
Submitting a product does not guarantee acceptance.
Open Source and Licensing Compliance
Products sold on WPBay must comply with applicable open-source licenses, including WordPress GPL requirements where relevant.
If your product includes third-party libraries, frameworks, code, fonts, icons, images, or bundled dependencies, you are responsible for ensuring you have the legal right to distribute them.
WPBay may request proof of licensing compliance at any time.
Product Quality and Security
If you sell on WPBay, you’re responsible for what you upload.
Products must work as described, be reasonably secure, and be suitable for real customer use.
We do not allow products containing malware, hidden backdoors, spyware, deceptive code, abusive remote kill-switches, intentionally harmful behavior, pirated assets, stolen code, or misleading functionality.
If your product depends on external APIs, licensing servers, third-party hosted assets, or remote functionality, that must be disclosed clearly.
Products that create unreasonable risk for customers or the platform may be rejected, suspended, or removed.
Privacy and Data Protection
If your product collects, processes, stores, transmits, or accesses personal data, you are responsible for ensuring compliance with applicable privacy and data protection laws, including GDPR where relevant.
You must clearly disclose data collection practices, third-party data transfers, tracking behavior, remote processing, or external integrations where applicable.
Security Incidents and Vulnerability Response
If you become aware of a security vulnerability affecting your product, you must notify WPBay without unreasonable delay.
WPBay may temporarily disable sales, suspend update delivery, display security warnings, require emergency remediation, or remove affected products where customer protection requires immediate action.
Cybersecurity, Vulnerability Handling and Cyber Resilience Act
Sellers are responsible for ensuring that products offered through WPBay comply with all cybersecurity, vulnerability-handling and product-security obligations applicable to them, including Regulation (EU) 2024/2847 (the Cyber Resilience Act, “CRA”), where applicable.
Where the Seller is the manufacturer, importer, distributor or other economic operator responsible for a product under the CRA, the Seller remains solely responsible for fulfilling the obligations applicable to that role, including vulnerability handling, security updates, required documentation, incident reporting and notifications to competent authorities.
If the Seller becomes aware of an actively exploited vulnerability, severe security incident, material cybersecurity defect or other security issue affecting a product offered through WPBay, the Seller must:
- investigate the issue without undue delay;
- notify WPBay promptly through the available support or security reporting channels;
- comply with any legally required reporting deadlines, including CRA reporting obligations applicable to the Seller;
- provide security fixes, patches or updated versions as quickly as reasonably possible;
- provide WPBay with sufficient information to assess whether continued distribution of the affected product creates a risk to users;
- cooperate with WPBay in responding to security reports, user notifications, regulatory requests or marketplace remediation measures.
Where the CRA requires notification of an actively exploited vulnerability or severe security incident, the Seller is responsible for making the required notification through the applicable EU reporting mechanism within the legally prescribed deadlines, including any applicable 24-hour early-warning and 72-hour notification requirements.
Sellers must maintain a reasonable process for receiving, assessing and responding to vulnerability reports relating to their products.
WPBay may forward vulnerability or cybersecurity reports received from users, researchers, authorities or other third parties to the Seller. The Seller must treat such reports as confidential where appropriate and must not retaliate against persons making good-faith security reports.
WPBay may temporarily suspend sales, downloads, updates or visibility of a product where WPBay reasonably believes that the product presents a significant cybersecurity risk, contains an actively exploited vulnerability, fails to receive necessary security updates, or where the Seller fails to respond appropriately to a credible security report.
WPBay may require the Seller to provide evidence that a reported vulnerability has been resolved before restoring a suspended product.
Nothing in this section transfers the Seller’s statutory obligations as manufacturer or other economic operator to WPBay.
Security Contact
Sellers must maintain an active email address or other designated contact through which WPBay can send urgent security, vulnerability and regulatory notices. Sellers are responsible for keeping this information current.
Product Abandonment
If a seller becomes unreachable, permanently abandons a product, repeatedly fails to provide promised support, or creates significant customer harm through neglect, WPBay reserves the right to take reasonable protective action, including suspension, delisting, customer warnings, or other mitigation measures.
Your Intellectual Property
Your products remain yours.
By listing a product on WPBay, you grant us the right to host, distribute, market, review, test, display, promote, and deliver that product as part of operating the platform.
You confirm that you own the rights required to distribute everything you submit, including code, assets, bundled libraries, branding, documentation, and dependencies.
If you submit something you don’t have the right to sell, that’s your responsibility.
Licensing and Product Delivery
Products sold through WPBay may use WPBay licensing, update delivery, purchase validation, activation systems, or other platform infrastructure.
If WPBay requires a specific integration method, sellers must use it.
You may not bypass WPBay checkout, licensing systems, update infrastructure, or payment flow by redirecting customers elsewhere for activation, payment, or access.
If you’re selling through WPBay, the customer relationship must stay inside WPBay.
Customer Licensing
Unless explicitly stated otherwise on the product page, products sold through WPBay are licensed to customers, not sold as ownership transfers.
Sellers are responsible for clearly describing applicable license terms, usage limitations, support scope, and renewal conditions where relevant.
Support Responsibilities
If your product includes support, you are expected to provide it.
That support should be reasonable, professional, and consistent with what you advertised on your product page.
If sellers repeatedly ignore customers, abandon supported products, or create ongoing customer issues, WPBay may step in.
Because customers purchase through WPBay, poor seller support becomes our problem too.
Updates and Maintenance
Software needs maintenance.
If you list a product on WPBay, you’re expected to maintain it appropriately.
That doesn’t mean endless free development forever, but abandoned, broken, insecure, or outdated products may be suspended or removed.
If a serious security issue is discovered, we may temporarily disable sales or take urgent action without prior notice.
Protecting customers comes first.
Pricing and Revenue
Sellers may define supported pricing structures based on available platform tools.
This may include one-time purchases, subscriptions, upgrade paths, free trials, or plan-based pricing.
WPBay reserves the right to reject pricing structures that are misleading, abusive, non-compliant, or harmful to customers.
Because WPBay is Merchant of Record, customer payments are collected by WPBay.
Seller earnings are calculated according to the applicable commission structure and any agreed payout terms.
Refunds, chargebacks, payment disputes, affiliate commissions, fraud adjustments, platform deductions, and similar transaction events may affect final payout amounts.
Commission and Platform Fees
WPBay may modify commission structures, payout rules, fee models, or marketplace economics over time.
Material changes will apply prospectively.
Payouts
Payouts are issued according to WPBay’s current payout policies.
Minimum payout thresholds may apply.
Supported payout methods may change over time.
If a transaction is refunded, reversed, disputed, fraudulent, or otherwise invalid, the related seller earnings may be reduced, withheld, or reversed.
Seller payouts are not immediate, are subject to processing schedules and in certain situations, payouts may be temporarily held for fraud review, dispute handling, legal compliance, or account investigation.
Refunds and Chargebacks
WPBay handles customer refunds according to our platform policies and applicable law.
Because seller earnings are based on completed customer transactions, refunds and payment reversals affect seller balances.
If a customer receives a refund, opens a chargeback, or a transaction is reversed, the corresponding seller earnings may be deducted.
Repeated refund abuse, excessive disputes, or problematic seller behavior may trigger account review.
WPBay retains final authority over customer transaction disputes, payment reversals, fraud handling, and refund administration.
Taxes
WPBay handles customer-facing tax obligations under its Merchant of Record model where applicable.
Sellers remain responsible for their own taxes, accounting, declarations, reporting obligations, and local compliance related to payments they receive from WPBay.
WPBay does not provide tax or accounting advice.
Intellectual Property Complaints
WPBay may remove, suspend, restrict, or investigate products in response to copyright claims, trademark disputes, licensing complaints, or other intellectual property concerns.
We may act before a final determination where reasonably necessary to reduce legal risk or protect customers.
Non-Exclusivity
Unless explicitly agreed otherwise in writing, sellers remain free to distribute their products elsewhere.
WPBay does not guarantee exclusivity, minimum sales, or preferential marketplace treatment.
Things You Cannot Do
Don’t upload malware.
Don’t upload stolen code.
Don’t pirate other developers’ work.
Don’t fake reviews.
Don’t manipulate rankings.
Don’t impersonate brands.
Don’t mislead customers.
Don’t collect customer data without proper legal basis.
Don’t try to route customers around WPBay to avoid fees or platform systems.
Don’t abuse the platform.
This should all be obvious, but experience says it still needs to be written down.
WPBay reserves the right to refuse seller applications or marketplace participation at its discretion.
Account Security
You are responsible for maintaining the security of your seller account credentials and for activities occurring under your account unless caused by WPBay’s own fault.
AI and Automated Content
If your product uses AI models, automated content generation, third-party inference APIs, or machine-generated outputs, you are responsible for ensuring lawful use, appropriate disclosures, and compliance with applicable provider terms.
WPBay is not responsible for outputs generated by seller products.
Ranking and Product Visibility
WPBay determines the order, prominence and visibility of products displayed through marketplace search results, category pages, collections, recommendation sections and other discovery features.
The main factors that may influence a product’s ranking or visibility include, depending on the relevant section of the marketplace:
- relevance of the product title, description, categories, tags and other product information to the user’s search or browsing context;
- sales performance and demonstrated buyer interest;
- recent sales activity and changes in sales performance;
- product ratings, reviews and customer feedback;
- product update frequency and recency;
- compatibility with current versions of WordPress, WooCommerce or other relevant software;
- product quality, completeness and compliance with WPBay marketplace requirements;
- refund, dispute, support or complaint history where relevant to product quality;
- product security, maintenance status and other indicators of product health;
- relevance to a particular marketplace collection, promotion or editorial feature;
- availability, pricing, discounts and promotional offers where relevant to the section being displayed;
- recency of publication for sections intended to highlight new products; and
- manual editorial selection by WPBay for features such as Staff Picks, curated collections, deals or other promotional areas.
The relative importance of these factors depends on the context in which products are displayed.
For ordinary search results, relevance to the user’s search or browsing intent is generally the most important factor, followed by signals relating to product quality, buyer interest, maintenance and marketplace performance.
Sections that have a specific purpose may use a different weighting. For example, a “Recently Updated” section will primarily consider update recency, a “Best Sellers” section will primarily consider sales performance, and a “New” section will primarily consider publication date.
WPBay may modify ranking parameters over time in order to improve marketplace quality, discovery, security, relevance or buyer experience. Material changes affecting Sellers will be reflected in this Agreement or related marketplace documentation where required.
WPBay is not required to disclose the precise weighting, source code, algorithms or technical mechanisms used to calculate rankings where such disclosure would enable manipulation, facilitate fraud or abuse, compromise marketplace security or otherwise harm users.
Editorial and Manual Promotion
WPBay may manually select products for additional visibility, including homepage placement, newsletters, collections, Staff Picks, promotional campaigns, social-media promotion or other editorial features.
Editorial placement may take into account factors such as product quality, usefulness, originality, current relevance, value to buyers, seller reputation, maintenance, security, presentation, customer feedback and suitability for a particular campaign.
Selection for editorial promotion is not guaranteed and does not create an entitlement to continued placement or a particular level of traffic or sales.
Paid Promotion
WPBay may offer Sellers optional paid advertising, sponsored placement or other promotional services.
Where payment directly influences the prominence or positioning of a product, WPBay will identify the relevant placement as sponsored, promoted, advertised or otherwise distinguish it where required by applicable law.
Paid promotional placement may increase a product’s visibility within the area covered by the promotion. Unless WPBay expressly states otherwise, purchasing promotional services does not guarantee any particular organic search ranking, number of views, number of sales or marketplace performance.
WPBay may establish separate eligibility or quality requirements for participation in promotional campaigns.
Differentiated Treatment and WPBay-Associated Products
CODE IKIGAI SRL, WPBay or persons or businesses connected with WPBay may themselves own, publish, distribute or have a commercial interest in products or services offered through the marketplace.
Such products may therefore compete with products offered by independent Sellers.
WPBay-owned, affiliated or commercially connected products are generally subject to the same marketplace listing, search and quality mechanisms as other eligible products. However, WPBay may provide differentiated treatment in certain circumstances.
Such differentiated treatment may include:
- placement in WPBay-operated promotional campaigns;
- inclusion in editorial collections or Staff Picks;
- homepage or newsletter promotion;
- use in demonstrations, bundles or marketplace promotions;
- advertising funded or operated by WPBay;
- different commercial, commission or contractual arrangements arising from ownership, acquisition, partnership or other commercial relationships; and
- access by WPBay to internal marketplace information necessary to operate, develop and market those products.
Where WPBay manually promotes a product in which CODE IKIGAI SRL has an ownership or other material commercial interest, such promotion may result in that product receiving greater visibility than products that have not been selected for the same promotion.
WPBay does not guarantee preferential organic search ranking solely because a product is owned by, affiliated with or commercially connected to WPBay.
The principal reasons for any such differentiated treatment are WPBay’s own investment in, ownership of, responsibility for or commercial relationship with the relevant product, together with marketplace editorial and promotional considerations.
Data Available to WPBay
In operating the marketplace, WPBay has access to data provided by Sellers, buyers and visitors, as well as data generated through use of the marketplace.
Depending on the relevant activity, this may include Seller account and identity information, product information, product files, pricing, sales, orders, commissions, payouts, refunds, reviews, support and dispute information, licensing information, product downloads, marketplace interactions, technical logs, security information, traffic information, referral information and marketplace-performance statistics.
WPBay uses this information for purposes including operating the marketplace, processing transactions and payouts, providing customer support, complying with legal and tax obligations, preventing fraud and abuse, maintaining marketplace security, calculating rankings and marketplace statistics, improving WPBay, enforcing marketplace rules and promoting products or marketplace services.
Personal data is processed in accordance with WPBay’s Privacy Policy and applicable data-protection law.
Data Available to Sellers
Sellers receive access through their WPBay account or Seller dashboard to information reasonably necessary to manage their marketplace activity.
Depending on the functionality available at the relevant time, this may include:
- information submitted by the Seller;
- product and listing information;
- product sales and order information;
- earnings, commissions and payout information;
- refund and transaction status;
- reviews and customer feedback;
- information necessary to provide purchased products, licensing, updates or customer support; and
- marketplace statistics and performance information made available through the Seller dashboard.
A Seller’s access to buyer personal data is limited to information that WPBay makes available for legitimate purposes connected with fulfilling purchases, operating the relevant product or service, providing support or complying with legal obligations.
Sellers must not use buyer information obtained through WPBay for unrelated advertising, unsolicited marketing, resale, data enrichment or other purposes that are incompatible with the purpose for which the information was provided.
Access to personal data remains subject to the GDPR, applicable privacy laws and the Seller’s own obligations as a controller or processor, as applicable.
Data Concerning Other Sellers
Sellers do not receive access to confidential account information, non-public personal data, private sales information, payout details or other commercially sensitive information belonging to other Sellers.
WPBay may make aggregated, anonymized or publicly available marketplace information available to Sellers, such as marketplace trends, public sales indicators, product rankings or category statistics.
WPBay is not required to provide Sellers with internal analytics, confidential marketplace data, proprietary ranking information, information belonging to other Sellers or data that would create privacy, security, fraud or competition concerns.
Sharing of Marketplace Data With Third Parties
WPBay may provide data to third parties where necessary to operate the marketplace or provide associated services.
Such recipients may include payment and payout providers, hosting and infrastructure providers, analytics providers, security and fraud-prevention providers, email and communications providers, tax and accounting providers, professional advisers and competent governmental or regulatory authorities.
WPBay may also use aggregated or anonymized marketplace information for analytics, business development, marketing, research or marketplace improvement.
Personal data is not provided to third parties for purposes inconsistent with WPBay’s Privacy Policy or applicable law.
Where Sellers have a legally required right to object to or opt out of a particular form of optional data sharing, WPBay will provide the appropriate mechanism.
Data After Suspension or Termination
Suspension or termination of a Seller account may result in loss of access to the Seller dashboard, marketplace tools and data made available through those systems.
WPBay may retain Seller, transaction, buyer, product, accounting, tax, fraud-prevention, security, complaint and other marketplace records after termination where necessary to comply with legal obligations, administer previous transactions, process refunds or chargebacks, protect users, prevent fraud, resolve disputes, enforce agreements or establish, exercise or defend legal claims.
Where technically available and legally permissible, a Seller may request access to or an export of data relating to its own account before or following termination. Such access does not include information belonging to other Sellers, WPBay’s confidential or proprietary information, internal ranking information, data that WPBay is legally prohibited from providing or personal data that the Seller no longer has a lawful basis to receive.
Termination of the Seller relationship does not grant the Seller an indefinite right to access WPBay systems or marketplace-generated data.
Any continued access or retention after termination is subject to this Agreement, WPBay’s Privacy Policy and applicable law.
No Guarantee of Ranking or Marketplace Performance
WPBay does not guarantee any Seller or product a particular ranking, marketplace position, number of impressions, traffic level, conversion rate or number of sales.
Rankings and recommendations may change as marketplace information, buyer behavior, product performance, product quality, algorithms, editorial decisions and marketplace features change.
Attempts to artificially manipulate ranking or visibility, including fake purchases, fabricated reviews, misleading metadata, keyword manipulation, fraudulent traffic, coordinated rating activity or other abusive practices, may result in ranking adjustments, removal from promotional areas, suspension or other action under this Agreement.
Account Suspension and Termination
We reserve the right to suspend seller accounts, remove products, pause payouts, restrict access, or terminate participation where necessary.
That includes fraud concerns, intellectual property complaints, customer harm, repeated support failures, abusive conduct, policy violations, legal risk, security issues, or other situations where continued access becomes unreasonable.
Some situations may require immediate action.
If a seller becomes insolvent, ceases business operations, dies, becomes unreachable, or cannot reasonably fulfill obligations, WPBay may take protective action for affected customers.
WPBay may immediately suspend or remove a product where necessary to protect users from a serious cybersecurity risk, actively exploited vulnerability, malicious functionality or other material security threat. Where immediate action is necessary for security reasons, WPBay may act before providing prior notice to the Seller.
Liability
WPBay provides the platform as-is.
We do our best to keep things running smoothly, but we do not guarantee uninterrupted uptime, guaranteed sales, ranking visibility, discoverability, revenue outcomes, or platform availability.
To the maximum extent allowed by law, WPBay will not be liable for indirect, consequential, incidental, or lost-profit damages related to your use of the platform.
If liability applies, it will be limited to the amounts paid to you by WPBay during the previous twelve months.
Your Responsibility Toward WPBay
If your product causes legal problems, customer harm, intellectual property disputes, malware incidents, security issues, or regulatory complaints because of something you submitted or did, you agree to protect WPBay from those claims.
In simple terms: if the problem came from your product or conduct, responsibility stays with you.
You may not use WPBay in violation of applicable sanctions, trade restrictions, or export control laws.
Except where explicitly stated by WPBay, product warranties, functionality claims, compatibility promises, and seller representations remain the responsibility of the seller.
Changes to This Agreement
WPBay may update this agreement over time as the platform evolves.
If we make material changes, we’ll update the date above and continue operating under the revised version.
Continued use of WPBay as a seller means you accept the updated terms.
Governing Law
WPBay will not be responsible for delays or failures caused by events beyond reasonable control, including infrastructure outages, payment provider failures, cyberattacks, regulatory actions, natural disasters, or third-party service disruptions.
This agreement is governed by the laws of Romania.
Any disputes will be handled by the competent courts of Romania unless mandatory law says otherwise.
