Welcome to WPBay.
This Seller Agreement governs your use of WPBay as a seller, vendor, or product creator. By creating a seller account, submitting products, or receiving payouts through WPBay, you agree to the terms below.
WPBay exists to help WordPress developers build sustainable businesses around their work. But to make that possible, we need clear rules that protect customers, sellers, and the platform itself.

Throughout this agreement, “WPBay”, “we”, “us”, and “our” refer to CODE IKIGAI SRL operating WPBay.
“Seller”, “vendor”, “you”, and “your” refer to any individual or business selling products through the platform.
The Relationship Between You and WPBay
WPBay operates as the Merchant of Record for purchases made through the platform.
That means customers buy from WPBay, not directly from individual sellers.
We handle checkout, billing, payment processing, invoicing, VAT collection where applicable, refunds under our platform policies, and subscription billing where relevant.
You remain the creator and owner of your products, but WPBay acts as the commercial seller to the end customer.
Nothing in this agreement creates an employment relationship, partnership, joint venture, agency arrangement, or similar legal relationship between you and WPBay.
You’re an independent business using our platform to distribute your products.
Who Can Sell
To sell on WPBay, you must be legally able to enter into binding contracts and provide accurate account information.
If you’re acting on behalf of a business, you confirm you have the authority to do so.
We may request identity verification, ownership verification, payout information, tax information, or other documentation if needed for compliance, fraud prevention, or account validation.
Seller Account Transfers and Business Ownership Changes
WPBay may permit the transfer of seller businesses, including associated seller accounts, only with prior written approval from WPBay.
Any proposed transfer requires identity verification, updated tax and payout information, acceptance of the current WPBay Seller Agreement and related platform policies by the incoming owner, and any other documentation reasonably requested for compliance, fraud prevention, or account validation.
Where a transfer materially affects customer support, licensing, subscriptions, update delivery, or ongoing product maintenance, WPBay may require customer notification before approving the transfer.
WPBay may reject, suspend, or reverse a proposed transfer where we reasonably believe it creates fraud risk, misleading reputation transfer, inadequate support continuity, ownership uncertainty, legal or compliance concerns, or potential customer harm.
Seller accounts may not be sold, assigned, transferred, or otherwise handed over without WPBay’s explicit written approval.
Approval of a transfer does not create any obligation for WPBay to assume seller support responsibilities, product maintenance obligations, or technical continuity between the previous and incoming owner.
What You Can Sell
WPBay is built for WordPress products.
That includes plugins, themes, extensions, integrations, developer tools, and related software products.
Not every submission will be approved.
We review products for quality, security, functionality, and marketplace fit. Approval is entirely at WPBay’s discretion.
Submitting a product does not guarantee acceptance.
Open Source and Licensing Compliance
Products sold on WPBay must comply with applicable open-source licenses, including WordPress GPL requirements where relevant.
If your product includes third-party libraries, frameworks, code, fonts, icons, images, or bundled dependencies, you are responsible for ensuring you have the legal right to distribute them.
WPBay may request proof of licensing compliance at any time.
Product Quality and Security
If you sell on WPBay, you’re responsible for what you upload.
Products must work as described, be reasonably secure, and be suitable for real customer use.
We do not allow products containing malware, hidden backdoors, spyware, deceptive code, abusive remote kill-switches, intentionally harmful behavior, pirated assets, stolen code, or misleading functionality.
If your product depends on external APIs, licensing servers, third-party hosted assets, or remote functionality, that must be disclosed clearly.
Products that create unreasonable risk for customers or the platform may be rejected, suspended, or removed.
Privacy and Data Protection
If your product collects, processes, stores, transmits, or accesses personal data, you are responsible for ensuring compliance with applicable privacy and data protection laws, including GDPR where relevant.
You must clearly disclose data collection practices, third-party data transfers, tracking behavior, remote processing, or external integrations where applicable.
Security Incidents and Vulnerability Response
If you become aware of a security vulnerability affecting your product, you must notify WPBay without unreasonable delay.
WPBay may temporarily disable sales, suspend update delivery, display security warnings, require emergency remediation, or remove affected products where customer protection requires immediate action.
Product Abandonment
If a seller becomes unreachable, permanently abandons a product, repeatedly fails to provide promised support, or creates significant customer harm through neglect, WPBay reserves the right to take reasonable protective action, including suspension, delisting, customer warnings, or other mitigation measures.
Your Intellectual Property
Your products remain yours.
By listing a product on WPBay, you grant us the right to host, distribute, market, review, test, display, promote, and deliver that product as part of operating the platform.
You confirm that you own the rights required to distribute everything you submit, including code, assets, bundled libraries, branding, documentation, and dependencies.
If you submit something you don’t have the right to sell, that’s your responsibility.
Licensing and Product Delivery
Products sold through WPBay may use WPBay licensing, update delivery, purchase validation, activation systems, or other platform infrastructure.
If WPBay requires a specific integration method, sellers must use it.
You may not bypass WPBay checkout, licensing systems, update infrastructure, or payment flow by redirecting customers elsewhere for activation, payment, or access.
If you’re selling through WPBay, the customer relationship must stay inside WPBay.
Customer Licensing
Unless explicitly stated otherwise on the product page, products sold through WPBay are licensed to customers, not sold as ownership transfers.
Sellers are responsible for clearly describing applicable license terms, usage limitations, support scope, and renewal conditions where relevant.
Support Responsibilities
If your product includes support, you are expected to provide it.
That support should be reasonable, professional, and consistent with what you advertised on your product page.
If sellers repeatedly ignore customers, abandon supported products, or create ongoing customer issues, WPBay may step in.
Because customers purchase through WPBay, poor seller support becomes our problem too.
Updates and Maintenance
Software needs maintenance.
If you list a product on WPBay, you’re expected to maintain it appropriately.
That doesn’t mean endless free development forever, but abandoned, broken, insecure, or outdated products may be suspended or removed.
If a serious security issue is discovered, we may temporarily disable sales or take urgent action without prior notice.
Protecting customers comes first.
Pricing and Revenue
Sellers may define supported pricing structures based on available platform tools.
This may include one-time purchases, subscriptions, upgrade paths, free trials, or plan-based pricing.
WPBay reserves the right to reject pricing structures that are misleading, abusive, non-compliant, or harmful to customers.
Because WPBay is Merchant of Record, customer payments are collected by WPBay.
Seller earnings are calculated according to the applicable commission structure and any agreed payout terms.
Refunds, chargebacks, payment disputes, affiliate commissions, fraud adjustments, platform deductions, and similar transaction events may affect final payout amounts.
Commission and Platform Fees
WPBay may modify commission structures, payout rules, fee models, or marketplace economics over time.
Material changes will apply prospectively.
Payouts
Payouts are issued according to WPBay’s current payout policies.
Minimum payout thresholds may apply.
Supported payout methods may change over time.
If a transaction is refunded, reversed, disputed, fraudulent, or otherwise invalid, the related seller earnings may be reduced, withheld, or reversed.
Seller payouts are not immediate, are subject to processing schedules and in certain situations, payouts may be temporarily held for fraud review, dispute handling, legal compliance, or account investigation.
Refunds and Chargebacks
WPBay handles customer refunds according to our platform policies and applicable law.
Because seller earnings are based on completed customer transactions, refunds and payment reversals affect seller balances.
If a customer receives a refund, opens a chargeback, or a transaction is reversed, the corresponding seller earnings may be deducted.
Repeated refund abuse, excessive disputes, or problematic seller behavior may trigger account review.
WPBay retains final authority over customer transaction disputes, payment reversals, fraud handling, and refund administration.
Taxes
WPBay handles customer-facing tax obligations under its Merchant of Record model where applicable.
Sellers remain responsible for their own taxes, accounting, declarations, reporting obligations, and local compliance related to payments they receive from WPBay.
WPBay does not provide tax or accounting advice.
Intellectual Property Complaints
WPBay may remove, suspend, restrict, or investigate products in response to copyright claims, trademark disputes, licensing complaints, or other intellectual property concerns.
We may act before a final determination where reasonably necessary to reduce legal risk or protect customers.
Non-Exclusivity
Unless explicitly agreed otherwise in writing, sellers remain free to distribute their products elsewhere.
WPBay does not guarantee exclusivity, minimum sales, or preferential marketplace treatment.
Things You Cannot Do
Don’t upload malware.
Don’t upload stolen code.
Don’t pirate other developers’ work.
Don’t fake reviews.
Don’t manipulate rankings.
Don’t impersonate brands.
Don’t mislead customers.
Don’t collect customer data without proper legal basis.
Don’t try to route customers around WPBay to avoid fees or platform systems.
Don’t abuse the platform.
This should all be obvious, but experience says it still needs to be written down.
WPBay reserves the right to refuse seller applications or marketplace participation at its discretion.
Account Security
You are responsible for maintaining the security of your seller account credentials and for activities occurring under your account unless caused by WPBay’s own fault.
AI and Automated Content
If your product uses AI models, automated content generation, third-party inference APIs, or machine-generated outputs, you are responsible for ensuring lawful use, appropriate disclosures, and compliance with applicable provider terms.
WPBay is not responsible for outputs generated by seller products.
Account Suspension and Termination
We reserve the right to suspend seller accounts, remove products, pause payouts, restrict access, or terminate participation where necessary.
That includes fraud concerns, intellectual property complaints, customer harm, repeated support failures, abusive conduct, policy violations, legal risk, security issues, or other situations where continued access becomes unreasonable.
Some situations may require immediate action.
If a seller becomes insolvent, ceases business operations, dies, becomes unreachable, or cannot reasonably fulfill obligations, WPBay may take protective action for affected customers.
Liability
WPBay provides the platform as-is.
We do our best to keep things running smoothly, but we do not guarantee uninterrupted uptime, guaranteed sales, ranking visibility, discoverability, revenue outcomes, or platform availability.
To the maximum extent allowed by law, WPBay will not be liable for indirect, consequential, incidental, or lost-profit damages related to your use of the platform.
If liability applies, it will be limited to the amounts paid to you by WPBay during the previous twelve months.
Your Responsibility Toward WPBay
If your product causes legal problems, customer harm, intellectual property disputes, malware incidents, security issues, or regulatory complaints because of something you submitted or did, you agree to protect WPBay from those claims.
In simple terms: if the problem came from your product or conduct, responsibility stays with you.
You may not use WPBay in violation of applicable sanctions, trade restrictions, or export control laws.
Except where explicitly stated by WPBay, product warranties, functionality claims, compatibility promises, and seller representations remain the responsibility of the seller.
Changes to This Agreement
WPBay may update this agreement over time as the platform evolves.
If we make material changes, we’ll update the date above and continue operating under the revised version.
Continued use of WPBay as a seller means you accept the updated terms.
Governing Law
WPBay will not be responsible for delays or failures caused by events beyond reasonable control, including infrastructure outages, payment provider failures, cyberattacks, regulatory actions, natural disasters, or third-party service disruptions.
This agreement is governed by the laws of Romania.
Any disputes will be handled by the competent courts of Romania unless mandatory law says otherwise.
